Lionsgate Club Terms of Service

IMPORTANT NOTE: THESE TERMS ARE ALSO SUBJECT TO THE TERMS OF USE FOR LIONSGATE.COM, WHICH CAN BE FOUND HERE, TOGETHER WITH THE LIONSGATE PRIVACY POLICY, AS APPLICABLE, THE LIONSGATE PRIVACY POLICY FOR CALIFORNIA RESIDENTS, AND THE PRIVACY POLICY FOR THE CLUB SITES (“LIONSGATE TERMS”) WHICH INCLUDE A MANDATORY ARBITRATION PROVISION, AS WELL AS OUR OTHER TERMS AND POLICIES.
These Lionsgate Supplemental Terms and Rewards Program Terms (these “Terms”) will only supersede the Lionsgate Terms where expressly set forth below. To the extent any terms are capitalized in these terms without being defined, such terms will have the same meaning as set forth in the Lionsgate Terms.
These Terms apply solely to the Lionsgate Club websites (which include “Wick Club” and other “Clubs” branded using Lionsgate intellectual property, together the “Club Sites”), and the applications operating under the Club Sites that involve content creation, sharing, and earning rewards.
This site is managed by Create Lore, Inc. (“Incention”) on behalf of Lions Gate Entertainment Corp. (“Lionsgate”). You hereby acknowledge that as a Service Provider for Lionsgate, Incention is subject to the Disclaimer and Limitation of Liability set forth in the Lionsgate Terms, and that you will indemnify Incention in the same manner as other Lionsgate entities under the Lionsgate Terms in connection with your access to, and participation in, the Club Sites and the Lionsgate Club. YOU AGREE THAT SUCH MANDATORY ARBITRATION AND ALL OTHER TERMS GOVERNING DISPUTES AND CLASS ACTION WAIVERS, AS SET FORTH IN THE LIONSGATE TERMS, ALSO APPLY TO ANY DISPUTES IN CONNECTION WITH YOUR ACCESS TO, AND PARTICIPATION IN, THE CLUB SITES AND THE LIONSGATE CLUB, INCLUDING, WITHOUT LIMITATION, WITH INCENTION.
When we say "our", "us", "we" or "Lionsgate" in these Terms, we mean Lionsgate and its affiliates. Any reference to Lionsgate in these terms may be to Lionsgate acting directly or Incention acting on Lionsgate’s behalf.
The Lionsgate Club is a program where fans can participate in games and challenges relating to Lionsgate’s Sites, Features, and Content (as defined in the Lionsgate Terms), which may involve the creation of new content based on Content provided by Lionsgate (“User Content”), and the sharing of such new content on certain Social Media Sites (as defined in the Lionsgate Terms). The content you create will be governed as “Submissions” pursuant to Section 10.2 of the Lionsgate Terms. Notwithstanding Sections 5.1.4, 5.1.8, and 10.2 of the Lionsgate Terms, you will be permitted to create and share such User Content, solely as directed on the Club Sites. You can enroll and become eligible to participate in the Lionsgate Club as a “Lionsgate Club Member” by signing up for an account and providing accurate information about yourself on the Club Sites. Your account will be deemed a User Account under the Lionsgate Terms. Lionsgate Club Members will be able to receive Club Points (defined below) in accordance with the offers expressly set forth on the Club Sites.
You should check the Club Sites, for various types of events involving the award of Club Points from time to time. We will provide opportunities for you to claim various benefits that we will specify on the Club Sites (“Rewards”) with the requisite number of Club Points . Rewards will expire at 11:59pm Pacific Time on the calendar day that is __ days after the date on which they were posted to your account.
Lionsgate Club Members may not rely on the continued availability of the benefits of the Lionsgate Club. Lionsgate makes no guarantee or representation as to the length of time during which the Lionsgate Club will be offered, and the Lionsgate Club could end at any time. The Lionsgate Club will end on the date designated by Lionsgate via email or notice on this website (the “Program End Date”) (which will be at 11:59pm Pacific Time on such designated date), AND ANY CLUB POINTS YOU HAVE RECEIVED WILL EXPIRE ON THE PROGRAM END DATE. Whenever we mention “notice” in these Terms, that notice can either be in the form of an email or via an update to these Terms.
GENERAL PROGRAM PARTICIPATION
Eligibility; Restrictions. Membership in, and use of, the Lionsgate Club is limited to persons who are at least 16 years of age and who have a valid email address on file. The Lionsgate Club is solely for a Lionsgate Club Member's personal, non-commercial use. Corporations, groups, and associations are not eligible. We reserve the right not to extend the Lionsgate Club benefits to employees of Lionsgate, Incention, or their respective affiliates. Certain Rewards may only be available to Lionsgate Club Members who reside in certain jurisdictions and may have additional age restrictions. You must maintain a valid email address and promptly update your account with any changes. The Lionsgate Club is void where prohibited by law. Lionsgate may limit the number of Lionsgate Club Members and may temporarily or permanently discontinue enrolling new Lionsgate Club Members at any time and for any reason without notice to you.
Unauthorized Activity and Access. You are solely responsible for keeping your login credentials, email address and password confidential and for all activities that occur on your account, including all unauthorized activities. We are entitled to act on instructions received by us if correct login credentials are provided, and in such case neither Lionsgate, Incention, nor their respective employees, directors, officers, agents or other personnel will be liable for: (i) any Club Points, credits or debits made to or used by your account, or (ii) any loss or damage arising from your failure to adequately safeguard your login credentials. You agree to immediately notify us of any unauthorized use of your login credentials, your account, or any other breach of security related to the Lionsgate Club. RECEIVING CLUB POINTS AND; CLAIMING REWARDS
Award of Club Points. Club Points are accumulated through awards for participation in various activities on the Club Sites (such as challenges involving the creation of User Content and sharing such User Content on Social Media Sites), or otherwise in connection with Sites, Features or Content, in each case, in accordance with the specific offers set forth in connection with such activities. The details of any such promotion, including a description of the conduct required, the number of Club Points available and the expiration date of the corresponding Club Points, will be in the terms and conditions communicated to the eligible Lionsgate Club Member(s).
Maintenance and Use of Club Points. Club Points accrued in a Lionsgate Club Member's account shall be maintained in the account until they expire. Club Points or Rewards in connection with one Club Site may not be used with respect to any other Club Sites. Once Club Points are used to claim a Reward, you cannot use such Club Points to claim another Reward.
Monitoring. You are responsible for regularly checking your account and ensuring the accuracy of your Club Points totals and must notify us through the Club Sites of any omission, incorrect entry or other discrepancy within three (3) days of its occurrence. Club Points subsequently determined, in our sole discretion, to be invalid, will be removed from a Lionsgate Club Member's Club Points accumulation total. You agree to abide by the final and binding decisions of Lionsgate regarding the Lionsgate Club and your participation in it. Lionsgate is the sole arbiter of all issues relating to the Lionsgate Club, including a decision to remove Club Points, Rewards or Discount Promo Codes or to deny Club Points, and all of our decisions relating to the Lionsgate Club are final.
Discount Promo Codes. Rewards may involve discounts, issued in the form of a code, which then must be converted into a discount promo code (a “Discount Promo Code”) which can be used for transactions involving Lionsgate, or for other opportunities to participate in events involving Lionsgate. A Discount Promo Code may be for a specific product or event, in which case it is not transferable for any other products or services offered by Lionsgate or involving Lionsgate Features, or Content. A Discount Promo Code cannot be aggregated with another Discount Promo Code in a single transaction or otherwise used in the same transaction as any other offer or promo code. You are solely responsible for all federal, state and local taxes and any other costs or expenses of accepting and using Rewards or Discount Promo Codes. Any Rewards for the redemption of Club Points may be governed by additional terms and conditions that are provided in connection with the offer.
Transferability. Except as expressly set forth in these Terms, or as expressly set forth on the Club Sites, any Club Points or Rewards earned or received and any other related membership benefits are not transferrable and may not be combined or merged with any other Lionsgate Club Member's account; however, Rewards may allow you the opportunity to obtain goods or assets from Lionsgate that you will have the right to retain and transfer. Any Club Points you receive are considered a limited, non-exclusive, revocable, non-assignable, personal, and non-transferable right solely for use towards the receipt of Rewards. Accordingly, you have no property, proprietary, intellectual property, ownership, or monetary interest in your Club Points or Discount Promo Codes; they shall remain Lionsgate property at all times. Neither Club Points nor Discount Promo Codes have any monetary or cash value and neither they, nor any Rewards, may be redeemed with us or any third party for cash or any cash equivalent. Club Points, Rewards and Discount Promo Codes are not transferable and cannot be combined with other offers or with another person's Club Points, Rewards and Discount Promo Codes. Club Points, Rewards and Discount Promo Codes are not your personal property, and are not descendible, may not be inherited, bartered, purchased or sold to any third party.
TERMINATION OF YOUR PARTICIPATION IN THE LIONSGATE CLUB
Termination. Any attempt to combine or improperly transfer Club Points, Rewards and Discount Promo Codes, or otherwise misrepresent your rights with respect to such Club Points, Rewards and Discount Promo Codes, may result in disqualification from the Lionsgate Club and expiration of all Club Points, Rewards and Discount Promo Codes. Other exclusions and restrictions may apply.
In addition, we may revoke your ability to participate in the Lionsgate Club due to: (i) your abuse of the Lionsgate Club, including, without limitation, your use of any "bot," macro, or other automated means to participate in the Lionsgate Club or to receive Club Points; (ii) your failure to follow these Terms, the Lionsgate Terms, or any other applicable terms or conditions; (iii) the unauthorized attempted or actual sale or transfer of any of your Club Points, Rewards, Discount Promo Codes or your account; (iv) any misrepresentation by you; (v) suspension or termination of your account; (vi) any suspected illegal or fraudulent activity; or (vii) any other conduct deemed by us, in our sole discretion, to be an abuse of the Lionsgate Club, to be detrimental to the interests of Lionsgate, Incention or their respective licensors, suppliers, or its customers, or to be otherwise improper. If your ability to participate in the Lionsgate Club is revoked, your future participation in the Lionsgate Club may be prohibited, and any unused Club Points, Rewards or Discount Promo Codes will automatically expire. Lionsgate has the right to take appropriate administrative or legal action as it deems appropriate with respect to Rewards and Discount Promo Codes that expire, are used or otherwise lost due to illegal, fraudulent or unauthorized activity.
Expiration. Termination of your account (either by you or by us) will result in the expiration of any Club Points, Rewards and Discount Promo Codes then associated with your account. If you later elect to re-open an account for a Club Site, you will not have access to any Club Points, Discount Rewards or Discount Promo Codes previously associated with your account and your beginning balance of Club Points will be zero. Club Points may expire due to Account Inactivity. Any Lionsgate Club Member who fails at any time to engage in Account Activity for a period of eighteen (18) consecutive months ("Account Inactivity") is subject to termination of such Lionsgate Club Member’s membership and/or expiration of all Club Points. We may, but shall have no obligation to, send a Lionsgate Club Member a notification of Club Points nearing expiration. “Account Activity” shall be deemed to occur when a Lionsgate Club Member either (a) accrues Club Points in the Lionsgate Club Member’s account in any manner recognized by the Lionsgate Club, or (b) redeems any Reward.
MODIFICATION OF THESE LIONSGATE CLUB TERMS
We reserve the right, in our sole discretion and at any time, without prior notice, to add to, revise, modify, suspend or terminate any or all aspects of the Lionsgate Club, including, without limitation: (i) your ability to receive or use Club Points and the number of Club Points you receive through offers or promotions, (ii) limit the number of times or frequency a Lionsgate Club Member may receive Club Points for engaging in connection with an offer or engaging in the activity during a specific period, (iii) offer Club Points opportunities to select groups of Lionsgate Club Members, (iv) requirements for claiming Rewards, (v) Reward and Discount Promo Code values and amounts, (vi) what Discount Promo Codes can be redeemed for, (vii) the mechanism for claiming or receiving Rewards and Discount Promo Codes, (viii) how many points are required to be accumulated in order to receive a reward or what the reward allows you to receive, and (ix) these Terms.
These Terms control your participation in the Lionsgate Club and no covenants at law or in equity shall be implied or incorporated, all of which are expressly disclaimed. Lionsgate has the sole right to interpret and apply these Lionsgate Club Terms. If Lionsgate improperly denies an accrual or benefit, liability will not exceed the equivalent value, as determined by Lionsgate, of that accrual or benefit.
If any term or change to these Terms is found invalid, void, or for any reason unenforceable, that term or change is severable and does not affect the validity and enforceability of any remaining terms, changes or conditions. Lionsgate shall not be liable to you in any way for any value or benefits you may lose as a result of any changes made to the Lionsgate Club, including, without limitation, any Club Points, Rewards or Discount Promo Codes.
We will notify you of changes to these Terms by posting them to a webpage that is linked to each of the Club Sites. The updated Lionsgate Club Terms will be effective as of the time of posting, or upon such later date or by such other method as specified by us. It is your responsibility to check the Club Site you use regularly for any changes to these Terms. If you object to these Terms or any changes hereto or at any time become dissatisfied with the Lionsgate Club, your sole recourse shall be to terminate your account and cease participating in Lionsgate Club. Your continuing participation in Lionsgate Club after notification of any change(s) (including notification by posting) constitutes conclusive evidence of your acknowledgment of the modifications and your agreement to be bound by such change(s).
All questions or disputes regarding eligibility for the Lionsgate Club, collection or redemption of Club Points, Rewards or Discount Promo Codes, or a Lionsgate Club Member's compliance with these Lionsgate Club Terms will be resolved by Lionsgate, in its sole and absolute discretion. All such decisions are final. Club Points will not be refunded or placed back in a Lionsgate Club Member's quantity of redeemable Club Points for any reason after redemption has been made, including if you return the item obtained using a Reward or Discount Promo Code.
Information about your Lionsgate Club account activity can be accessed online when signed in with your sign in credentials. Information includes, but is not limited to, your Club Points, Rewards, Discount Promo Codes and expiration dates. For information about your membership, contact us at legal@incention.io.
